Website Service Agreement

Monthly website subscription — Agreement version October 11, 2026. This agreement covers the $297 monthly website service offered by Launchstead Digital. By checking the required agreement box and completing checkout, you accept these terms on behalf of yourself or the business identified at checkout. Read the full agreement before paying.

About this agreement

Provider means Launchstead Digital. Client means the person or business identified at checkout that is purchasing the service. Anyone accepting for a business represents that they have authority to bind it. The agreement takes effect when Client accepts the terms and completes checkout.

1. Services

Provider will build and launch one business website for Client and provide ongoing hosting, routine maintenance, and search engine optimization (SEO) for $297 per month. Initial construction is included; no separate setup fee applies under this agreement. The initial website structure, content, and launch schedule will be confirmed in writing before construction. Client approval is required before launch.

Routine maintenance includes fixing website errors, applying available updates within Provider's control, and reasonable minor changes to existing text, photos, contact details, and service descriptions. SEO includes initial keyword and local service targeting, page titles and descriptions, headings, indexing setup, and ongoing review and adjustments to existing website content and technical settings.

Major redesigns, substantial new pages or features, paid advertising, advertising spend, email hosting, domain registration or renewal, and paid third-party services are excluded unless agreed in writing. Extra work requires Client's written approval of the price before it begins.

2. Monthly billing and renewal

The subscription is month to month with no minimum term. Unless a different start date is expressly stated at checkout, the first $297 payment is due at checkout and the service subscription starts on that date. Each payment covers one monthly billing cycle, beginning on the subscription billing date and ending immediately before the next renewal. The renewal date is shown in Client's Stripe subscription information. If a month lacks the billing date, renewal occurs on that month's last day. Applicable taxes, if legally required, will be shown separately.

Client authorizes recurring monthly charges of $297 through Stripe using the payment method Client supplies until cancellation becomes effective. Provider must obtain separate payment authorization for additional charges. A change to the monthly price requires a written agreement between the parties.

3. Cancellation at any time

Client may cancel at any time by emailing info@launchsteaddigital.com or using the Stripe customer portal if enabled. No advance notice period or cancellation fee applies. Notice received before renewal prevents the next monthly charge. Cancellation takes effect at the end of the current paid billing cycle, and services continue until then. Provider will confirm the final service date in writing; confirmation is not a condition of cancellation.

There is no prorated refund for a partial billing cycle, except as required by law or agreed in writing. Provider may also end the agreement at the end of a paid billing cycle by giving written notice before renewal. If Provider ends service early without Client's breach, Provider will refund the unused prepaid portion.

4. SEO and lead generation disclaimer

The website and SEO services are intended to help improve Client's visibility on Google and other search engines and increase opportunities to generate customer leads. These are goals, not guaranteed results. Provider has not promised or guaranteed any specific Google ranking, first-page placement, number of leads, website traffic, calls, bookings, sales, revenue, or timeframe for improvement. Client acknowledges that no such result was promised before accepting this agreement and that Client is not relying on a promise of any specific result.

Results depend on factors outside Provider's control, including competition, search engine algorithm changes, market conditions, Client's reputation, and Client's response to inquiries. Client understands that results may vary and that the services may not produce an improvement in rankings or an increase in leads. This disclaimer does not excuse Provider from performing the services described in this agreement with reasonable care and skill.

5. Website code and Client ownership

Provider retains ownership of original website source code, templates, reusable components, designs, tools, and any original logo created by Provider for Client, excluding Client-supplied materials and third-party assets. Third-party software and assets remain subject to their licenses. Monthly payments purchase services and a limited license to use the hosted website and any Provider-created logo during the paid subscription; they do not transfer ownership. During the subscription, Client may use the Provider-created logo on its website and business marketing materials. Logo creation is included only if expressly agreed in writing.

Client retains ownership of its domain, business name, trademarks and logos supplied by Client, supplied text and photos, and customer information. This does not transfer ownership of a logo created by Provider. Client-owned accounts remain Client's property. Provider will receive only the access needed to perform the website services. Client authorizes use of its supplied materials for this website and confirms it has the necessary rights.

6. What happens when service ends

At the end of the final paid billing cycle, hosting, maintenance, SEO services, and Client's license to use Provider-owned website materials and any Provider-created logo end. The hosted website may be taken offline. Client must stop new use of the Provider-created logo and remove it from digital channels it controls within 30 days. Provider is not required to transfer source code or provide a working website for another host. Continued logo use, a logo purchase or ownership transfer, a code purchase or ownership transfer, or website migration requires a separate written agreement.

On request made within 30 days after termination, Provider will return available Client-supplied materials and Client customer data held by Provider in a commonly usable format, and release access to Client-owned accounts and domain controls. Provider will not withhold Client's domain or accounts. Client is responsible for arranging replacement hosting and saving needed materials. Provider may delete remaining hosted files after 30 days, subject to legal retention obligations.

7. Client responsibilities and payment issues

The Client will provide accurate business information, content, approvals, and necessary account access promptly. Delays may affect launch or updates. Client is responsible for the accuracy of its service claims, handling inquiries, and approving business-specific privacy disclosures. Each party will protect confidential information and credentials and use them only to perform this agreement.

If a payment fails, Provider will notify Client and allow seven calendar days to resolve it before suspending services. If unresolved for 14 days after notice, Provider may terminate by written notice. No charge applies to future cycles after termination. Amounts properly owed before termination remain due. If Provider materially fails to perform, Client may give written notice and ten calendar days to cure; if uncured, Client may terminate and receive a refund of unused prepaid services.

8. Service standards and general terms

Provider will perform services with reasonable care and skill. Continuous uptime and uninterrupted third-party services are not guaranteed. To the extent permitted by law, neither party is liable for indirect or consequential losses, and each party's aggregate liability under this agreement is limited to the service fees paid in the six months preceding the event. These limits do not apply to fraud, willful misconduct, gross negligence, unpaid fees, or liability that cannot legally be limited.

Florida law governs this agreement. The parties will first attempt to resolve disputes directly in good faith. This agreement and written scope approvals are the entire agreement. Changes require written consent from both parties. If a provision is unenforceable, the remaining provisions continue. Electronic signatures and counterparts are permitted.

9. Electronic acceptance and contact

By checking the required Website Service Agreement or Terms of Service box and completing payment, Client confirms that Client has had the opportunity to review this agreement and agrees to the $297 monthly recurring charge, cancellation terms, Provider's ownership of website code and any Provider-created logo, and the absence of guaranteed SEO or lead generation results. This acceptance applies to the version presented at checkout. No separate handwritten signature is required for this checkout process.

The Client should save a copy of this agreement and the checkout confirmation. Provider will retain the applicable agreement version and available acceptance records. Updates posted on the website do not automatically change an existing Client's agreement; material changes require Client's written or electronic acceptance. Questions and cancellation notices may be sent to info@launchsteaddigital.com. Provider may send service notices to Client's email supplied at checkout.
